These Terms of Service ("Terms") govern your access to and use of Navaris ("Service"), operated by Navaris Technology Ltd ("we", "us", "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

Navaris is a platform that helps startups organise business documents and create investor-ready data rooms. The Service connects to your documents and tools to index, structure, and present your business information.

2. Beta Service

The Service is currently in private beta. This means:

• Features may change, be added, or removed without notice
• The Service may contain bugs or errors
• We may pause or discontinue the Service at any time
• We do not guarantee uptime or availability
• We may delete data at the end of the beta period

We welcome your feedback during this period, and any feedback you provide may be used to improve the Service without obligation to you.

3. Your Account

You are responsible for:

• Providing accurate information when creating your account
• Maintaining the security of your account credentials
• All activity that occurs under your account

You must be at least 18 years old and have the authority to bind the organisation you represent.

4. Your Data

Ownership

You retain ownership of all data you upload or connect to the Service ("Your Data"). We do not claim any ownership rights over Your Data.

Licence

You grant us a limited licence to access, process, and display Your Data solely to provide the Service to you.

Security

We implement reasonable security measures to protect Your Data. However, no system is completely secure, and we cannot guarantee absolute security.

Deletion

You may request deletion of Your Data at any time by contacting us. Upon termination of your account, we will delete Your Data within 30 days, unless required by law to retain it.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Upload content that infringes intellectual property rights
• Attempt to access other users' accounts or data
• Interfere with or disrupt the Service
• Reverse engineer or attempt to extract source code
• Use the Service to compete with us

6. Third-Party Integrations

The Service may connect to third-party tools and platforms (e.g., Google Drive, Dropbox). Your use of these integrations is subject to the respective third-party terms. We are not responsible for third-party services.

7. Intellectual Property

The Service, including its design, features, and content (excluding Your Data), is owned by us and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or branding.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the Service will be uninterrupted, error-free, or secure.

To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.

Our total liability for any claim arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or £100, whichever is greater.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party rights.

11. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service. Your continued use after changes take effect constitutes acceptance of the updated Terms.

12. Termination

Either party may terminate this agreement at any time. We may suspend or terminate your access immediately if you breach these Terms.

Upon termination:

• Your right to use the Service ends immediately
• We will delete Your Data in accordance with Section 4

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
